Organizer Terms
Last updated: October 14, 2026. Version 4.
These Organizer Terms are an agreement between MELLOMEET LLC, a Utah limited liability company ("mello"), and the organization you name in your application and you personally as the person accepting for it ("Organizer"). They add to the mello Terms of Service. If they conflict, these Organizer Terms control for ticketed events. You confirm you are authorized to bind the organization. If the organization is not a legal entity, or is not authorized, you accept these terms personally.
1. Your role
You are the organizer and provider of every event you list. You set the event, its price, its capacity, its rules, and, if any ticket costs money, its refund policy. mello provides software and acts as your limited agent to collect ticket payments from buyers and hold them for you. A buyer's payment to mello counts as payment to you. mello does not organize, host, supervise, insure, or guarantee your event.
2. Fees
mello charges buyers a service fee on top of your ticket price. Your service fee rate is shown in your organizer settings and may be set by written agreement. mello may change the default rate on 30 days' notice for events published after the change. You receive the full ticket price you set, less discounts you create, refunds, chargebacks, and amounts you owe under these terms. mello pays payment processing costs on ticket sales, except as stated in section 4, and pays the fee Stripe charges mello to debit your connected Stripe balance under section 3. You pay the dispute fee described in section 5.
3. Payouts
3.1 Payouts are made through Stripe to the account you connect, under Stripe's terms. Ticket revenue for an event becomes eligible for payout 7 days after the event ends, and only while your account is in good standing. mello may delay or withhold a payout while a refund, cancellation, dispute, report, suspected violation, or investigation is open, and while you owe mello an amount as described in 3.2 and 3.4.
3.2 Amounts you owe. An amount you owe is any amount these terms say you owe mello, including the ticket price of refunds under section 4, the cancellation processing cost under section 4, a lost chargeback and its dispute fee under section 5, and the ticket price of the rest of an order under section 5. An amount you owe is owed when mello records it. Your payouts screen shows it. The amount you owe is reduced by any credit under 3.5.
3.3 How mello collects. mello collects an amount you owe by deducting it from your next payout and, if it has not been collected within 30 days after mello recorded it, by debiting your connected Stripe balance through Stripe. You authorize mello to debit your connected Stripe balance for any amount you owe under these terms. mello debits only the funds available in that balance when it tries. Whatever is not collected stays owed, and mello may try again later. mello pays the fee Stripe charges mello for the debit. mello does not debit your bank account. Stripe may separately recover a negative balance from your bank account under your own agreement with Stripe.
3.4 Holds. While you owe mello an amount, after credits, mello holds every payout to you, for every event, until the amount is paid or cleared. mello shows this as 'Payouts on hold' on your payouts screen. A hold under this paragraph does not end because an event has ended or the payout date has passed.
3.5 Credits. If mello credits you an amount, mello applies the credit first against amounts you owe. mello pays any remainder with your next payout, or by transfer to your Stripe account. A credit by itself does not hold a payout.
3.6 Contesting a debit. You may contest a debit by writing to [email protected] within 60 days after mello notified you of it, with the reason. mello will review it, and will return any amount it debited that you did not owe. A lost chargeback is decided by the card network and your bank and is not reopened by this paragraph. Contesting a debit does not release a hold under 3.4 unless mello says so in writing.
3.7 Clearing an amount. mello may clear an amount owed at its discretion. Clearing one amount does not waive any other amount. Until an amount is paid or cleared, 3.4 continues to apply.
4. Refunds
If any ticket type for your event costs money, you choose a refund policy before that ticket type goes on sale. Buyers of those tickets agree to it at checkout. You must honor it. An event whose tickets are all free needs no refund policy. You may refund buyers through mello. A refund you give returns the ticket price and the tax on it to the buyer. The ticket price comes out of your balance. mello's service fee and the tax on it are not refunded. If you cancel an event, or mello cancels it because of a violation of these terms, every ticket that has not already been refunded, or returned to the cardholder through a chargeback, is refunded in full, including mello's service fee, to the payment method used for the original purchase, even if the ticket was transferred, and the ticket price portion is charged to you. If you do not hold the event as described, mello may refund buyers, and you owe mello the ticket price portion.
When an event is cancelled, by you or by mello under these terms, you also owe mello a cancellation processing cost. It is the payment processing cost mello cannot get back on the refunded charges, calculated at 2.9% of the ticket price and all tax refunded in the cancellation, including the tax on mello's service fee, plus 30 cents for each charge refunded in the cancellation. mello's service fee itself is refunded to buyers at mello's own cost and is not part of this amount. You owe no cancellation processing cost when mello cancels an event for a reason other than your breach of these terms.
5. Chargebacks
If a buyer disputes a charge, the ticket price share of the disputed amount is reversed from your balance while the dispute is open. The ticket price share is the disputed amount multiplied by the ticket price the buyer has not had refunded, divided by the total the buyer has not had refunded, and never more than that ticket price. If the dispute is lost, you owe mello that ticket price share and the dispute fee the payment processor charges mello, less what was already reversed. mello bears any fee the payment processor charges for responding to a dispute. You never owe mello's service fee or tax on a disputed order. mello decides whether and how to respond to a dispute. If the dispute is won, the reversed amount is returned to you. mello collects what you owe under section 3. You will provide evidence mello requests within 3 business days.
If a dispute over part of an order is lost, mello may cancel the rest of that order, including any ticket from it that was transferred, and refund those tickets in full, including mello's service fee and the tax, to the payment method used for the original purchase. Once mello has sent that refund, you owe mello the ticket price of those tickets, as if you had cancelled them. You never owe mello's service fee or tax on them. This paragraph applies to an event you published, or repriced, after you accepted version 3 of these Organizer Terms. For any other event, mello bears that refund.
6. Taxes
mello calculates, collects, and remits sales tax on ticket sales where mello is required to do so. You are responsible for all other taxes on your income and activities, including income tax, and for any information Stripe needs to issue tax forms. You will give mello an accurate venue address for every paid event, because tax depends on it.
7. Prohibited events
You may not list, sell, or give away tickets for an event that: (a) has alcohol sold, served, provided, or available, unless only a venue or vendor that holds every license and permit required by law for that service at that event sells and serves it, so a "BYOB" event, an event where alcohol is included in or available with admission, and an event where alcohol is provided by you, your members, or guests are not permitted, whether its tickets are sold or free, or otherwise violates the Alcohol section; (b) involves illegal drugs, gambling, weapons, hazing, sexual services, or any illegal activity; (c) admits anyone under 18; (d) prices, admits, or restricts tickets based on sex, gender, race, religion, national origin, disability, or another characteristic protected by law; (e) exceeds the lawful occupancy of the venue or lacks a permit the law requires; (f) is held at a place you do not have permission to use; (g) is misdescribed, including a false price, time, place, or lineup; or (h) violates the rules of any school, national organization, or venue that governs you.
8. Your obligations at the event
You are solely responsible for the safety, security, staffing, crowd control, identification checks, age rules, accessibility, insurance, permits, and lawful conduct of your event and everyone you admit. Age settings on mello are labels you set and enforce. mello does not verify any attendee's age.
9. Insurance
For any event with more than 100 expected attendees, or at a venue that is not a licensed commercial venue, you will carry general liability insurance of at least $1,000,000 per occurrence, naming MELLOMEET LLC as an additional insured, and host liquor liability where alcohol is present, and will provide proof on request.
10. Indemnity
You will defend, indemnify, and hold harmless mello and its officers, employees, and agents from all claims, losses, fines, and costs, including reasonable attorneys' fees, arising from your events, your guests, alcohol at or connected to your events, your violation of these terms or the law, or your refund, tax, or discrimination obligations.
11. Guest data
Guest information you receive through mello may be used only to run the event it was provided for. You may not sell it, add it to marketing lists without consent, or keep it after the event longer than you need it.
12. Suspension and termination
mello may approve, decline, suspend, or remove an organizer or event at any time for risk, a report, or a violation. Sections 3 through 6 survive termination until every amount is paid or cleared, including holds under 3.4. Sections 8 through 11 survive for every event held before termination.
13. Changes
mello may update these Organizer Terms. A new version applies to events published or repriced after you accept it, and mello will ask you to accept it before you publish an event or change a paid event. Versions 3 and 4 require you to accept again. An amount you owe for an event published or repriced before you accepted version 3 is collected under the version that was in force when you published or repriced it, and does not by itself start a hold under 3.4. 3.5 (credits) and 3.7 (clearing) apply to every amount.
